We value NOW at $135 a share. The report's $155.62 price (Oct 26, 2026) was 15% above fair value: Hold.
Restated Oct 26, 2026 (method case-spread-2026-10-24); the report's original value was $135, Hold.

What would change the view
- Q3 cRPO growth of 22.5% or more in constant currency with a Q4 subscription guide above $4,282M and a stock that rises on it: the acceleration the price needs has started, and our beat-and-fade reading is wrong
- FY2027 subscription growth guided at 20% or more in constant currency with stock pay at or below 13% of revenue: our central growth path is too low (one point a year is about $5.9 a share)
- Q3 cRPO growth below 20.5% in constant currency or a cut to the full-year guide: move toward the pessimistic case ($53)
- Stock pay above 14% of revenue in 2027, or another acquisition above $2B: about $5-10 a share off the central
Catalysts
- Q3 2026 results after the close (date set by ServiceNow, 2026-10-07), graded against the 2026-10-22 forecasts: cRPO growth 21.5% in constant currency ours against a 20% guide and the 22.5% we think the stock needs to rise; Q4 subscription guide midpoint $4,259M ours, above $4,282M needed for a rise
- Q4 2026 results and the FY2027 guide (date not yet confirmed by ServiceNow; the earnings calendar lists 2027-01-27 as unverified): subscription growth guided against our 18.5% and stock pay against our 14% of revenue
This text argues the original call. The current figures are at the top.
We keep ServiceNow at Hold, and we show it as Hold on the Avoid line. Our value is $135 a share; on 2026-10-23 the stock closed at $158.96, and it traded at $155.62 on the morning of 2026-10-26. The shared rule calls a stock an Avoid when our value is below 85% of the price, which here means a price above $159.39. Friday's close was $0.43 under that line. ServiceNow's ordinary daily move over the last 60 sessions was 3.1%, so one normal day can carry the rating across the line and back, as Monday morning's 2% drop shows. The rating is always the shared rule's: Hold below $159.39, Avoid above it. What we add is a qualifier. Within one ordinary day of the line ($154.47 to $164.31) we label it "on the Avoid line" (or, above $159.39, "Avoid, on the Hold line"), so a reader knows the label could flip on noise and should not read a flip as news.
This revision tests the 2026-10-22 report against its strongest counter-case before ServiceNow reports on Wednesday 2026-10-28 after the close. None of it moves our value: target raises, a price that has risen 5-7% since our Avoid of 2026-10-15, AI contract value, channel checks and Anthropic's S-1 are either already in the model or say nothing about ServiceNow's cash flows. What did change is how we present the print. Our own central forecast sits below the result we think the stock needs to rise. Read plainly, our base case is a beat that fades. That is a hypothesis about the reaction, from eight quarters of history, not a finding.
Terms used below. The central case is our best estimate; the pessimistic and optimistic cases are a severe but plausible bad outcome and the matching good one. cRPO (current remaining performance obligations) is revenue already under contract that ServiceNow will recognise in the next twelve months; it leads subscription revenue, and the company guides its growth in constant currency. ACV is annual contract value. The long fade values the company by letting growth and the return on new capital fall gradually to normal over 15 years after 2031; the outside view prices 2031 operating profit at the multiple the peers (Microsoft, Oracle, SAP, Adobe, Intuit, Autodesk) traded at over their last ten fiscal years.
The bull case, point by point, and why it does not move the value
| Claim | Status | Effect on our value |
|---|---|---|
| Our Avoid of 2026-10-15 at $103 came with the price at $148.59; it closed at $158.96 on 2026-10-23 | Fact (market data closes). The $103 was restated to $135 by the shared method on 2026-10-22, not by new evidence | None. A price move alone is not a change in value |
| AI contract value rose from over $600M at the end of 2025 to over $1.0B at Q2 2026 | Company figures (Q4 2025 and Q2 2026 calls) | Already in our Q3 forecast ($1.30B, range $1.20-1.40B) and in the 2027-31 growth path |
| Guggenheim raised its target to $175 from $125 on 2026-10-23 | Press (Dow Jones headline; GuruFocus says the firm used about 10.5 times projected recurring revenue) | None: a target is a view of the price. Bank of America also raised to $180 from $150 on 2026-10-23 (Benzinga, found by our reviewer; we did not open the story). The Street's average target, $169.70 (market data, 2026-10-26), discounted a year at our cost of equity is $153.91 |
| Channel checks point to a cRPO beat of 1.5-2.0 points and a Q4 cRPO guide near 20% | FundaAI, Oct 21 (subscription); their claims from three resellers and two customers, not verified | None. 21.5-22.0% sits inside our 20.5-22.5% range and at or above our 21.5%. The same checks are mixed below the headline: one customer's direct ServiceNow spend is up about 2% this year, another's about 7-10% a year, and that customer plans to build more AI tools in-house on Microsoft and Databricks |
| Short positions across hedge funds are near records | Press relaying Goldman Sachs prime-brokerage data: shorting near five-year highs and the fastest tech selling in a decade through 2026-10-15 (market data, 24/7 Wall St., Bloomberg, 2026-10-19 to 10-23). A "99th percentile" figure in one summary was not confirmed; Bloomberg's account stresses long selling more than new shorts. ServiceNow's own short interest was not measured | None on value. It is a real risk to the "beat and fade" reading below: a crowded short book can turn a modest beat into a squeeze |
Anthropic's S-1 (EDGAR, accession 0001628280-26-067168), read for one question: does it describe enterprise workflow products that compete with ServiceNow? It does not name ServiceNow. It describes Anthropic mainly as a platform others build on, says that as it builds its own applications it may compete with enterprise software companies "in select categories", and calls that risk most acute with software sold as a service. It promotes agent products (Claude Cowork, Managed Agents) that run knowledge workers' workflows, and it names entrenched enterprise workflows as an obstacle to its own adoption. That is the "AI eats software" argument in the words of a likely competitor, but it gives no product, customer or number we can put against ServiceNow's renewals or cRPO. It stays where it was: in the pessimistic case (seat-based pricing under pressure, slower growth) and in the long fade's lower multiple.
What would move the value. A change in the 2027-31 growth path. The
price needs subscription growth about 3.3 points a year above ours (about
22% in 2027), or a 2031 margin of 39.8%, or stock pay of 7.2% of revenue
(counter.txt). One quarter cannot show that; a FY2027 guide on 2027-01-27
can start to.
Into the print on 2026-10-28: our base case is a beat that fades
The Q3 forecasts are those of the 2026-10-22 report, unchanged and graded from its record: subscription revenue $4,001M, cRPO growth 21.5% in constant currency (range 20.5-22.5%), non-GAAP operating margin 32.0%, EPS $1.00, AI contract value $1.30B, Q4 subscription guide midpoint $4,259M (2026-10-22 report).
| cRPO growth, constant currency | Against the 22.5% bar for a rise | |
|---|---|---|
| Company guide | 20.0% | -2.5 points |
| Q2 2026 actual | 21.5% | -1.0 |
| Our central | 21.5% | -1.0 |
| FundaAI's channel checks (their claim) | 21.5-22.0% | -1.0 to -0.5 |
| Top of our range | 22.5% | at the bar |
Every central forecast here, ours and the checks', sits below the bar. In plain terms: we expect ServiceNow to beat its guide again, and we expect a beat of that size not to lift the stock. The 22.5% bar is our hypothesis for what buyers need, an acceleration of a point from Q2, of which Armis can supply at most half (2026-10-22 report, "cRPO with and without Armis").
Treat the reaction bars as hypotheses. They rest on eight quarters. ServiceNow beat its own cRPO and margin guide in all eight and rose the next day in four; the falls were -3.7% to -17.7% and followed something about the year ahead, in our reading of the releases. Eight observations cannot establish a rule, and this week's market is not those quarters: the short positioning above argues the other way.
What the options price. At the 2026-10-23 close the 2026-10-30 straddle
at the $160 strike cost $16.25, 10.2% of the close over five sessions;
comparing it with the 2026-11-06 straddle ($18.75) leaves a standard
deviation of about 10.4% for results day alone, an expected move of about
8.3% either way, roughly $13 (counter.txt, our arithmetic from market data
closing marks).
The downside, plainly.
| Outcome | Price | Basis |
|---|---|---|
| One results-day standard deviation up | $172 | Options at the 2026-10-23 close, applied to $155.62 |
| One results-day standard deviation down | $139 | Options |
| Two standard deviations down | $123 | Options |
| The worst next-day fall in eight quarters (-17.7%, Q1 2026) applied to $155.62 | $128 | Market data closes (2026-10-22 report) |
| Our central value | $135 | model.py |
| Our pessimistic case | $53 | model.py |
| Outcome on 2026-10-28 | Our hypothesis for the reaction |
|---|---|
| cRPO 22.5% or more, Q4 subscription guide above $4,282M, AI contract value above $1.3B with the $1.5B target raised | Up; the squeeze risk adds to it |
| cRPO 21.5-22.0% (ours and the checks'), Q4 cRPO guide near 20%, guide in line | Flat to down: the beat already in the price |
| cRPO at or below 21.5%, a 2027 margin held back by hosting and AI costs, stock pay above 15%, or a new acquisition above $2B | Down, as in four of the last eight quarters |
What the quarter can and cannot settle
| Can the Q3 print falsify it? | Claim |
|---|---|
| Yes | The eight forecasts in the 2026-10-22 record (each has a range) |
| Yes, weakly | The reaction hypotheses above: one more observation beside eight |
| Partly | Whether organic cRPO is accelerating: Q3 cRPO with Armis taken out, and whether the Q4 organic cRPO guide holds at or above 18.25-18.75% |
| No | Our $135 value, which rests on 2027-31 growth, margins, stock pay and the exit multiple |
| No | Whether AI agents erode seat-based workflow software (the S-1 argument); that shows in renewals and pricing over years |
| No | The Hold itself, except through the price |
Why the other side could be right
- ServiceNow has beaten its quarterly guide for eight straight quarters. If the $32B 2030 subscription path is met, the price is roughly right on our model.
- The outside view, the peers' decade at 34.4 times operating profit, gives $293 at exit; if software multiples return to that level, $135 is low.
- AI contract value is compounding, and the channel checks describe AI tier upgrades with 15-25% price uplifts at renewal (FundaAI's claim). A consumption model on top of seats could add growth our path does not have.
- Short positioning is crowded; a squeeze does not need a large beat.
Catalysts and what would change the call
- 2026-10-28, after the close: Q3 2026 results (date set by ServiceNow, 2026-10-07), graded against the 2026-10-22 forecasts.
- 2027-01-27 (market data, not confirmed by the company): Q4 2026 and the FY2027 guide. Subscription growth guided at 20% or more in constant currency with stock pay at or below 13% would put the optimistic case in reach; Q3 cRPO below 20.5% or a cut to the full-year guide points toward the pessimistic case.
- A price at or below $135 makes it a Buy. Above $159.39 the shared rule makes it an Avoid; between $154.47 and $164.31 the label carries "on the line".

Mechanical checks (scripts/research-check.py, 2026-10-26): no FAIL.
model.py and counter.py rerun to their saved outputs; the record matches
valuation.json; the revision history covers both earlier reports. Its
warnings: no forecast in this record (the Q3 forecasts stay in the
2026-10-22 record, so they are not graded twice); the blind commit is
unblinded by declaration; "155.62" appearing in data-manifest.json at
93ca50a is digits inside a file hash, not the price. Flag 4 (outside view 87%
above the fade): the input behind the gap is the multiple, the peers' decade
at 34.4 times operating profit against the fade's 19.1 times 2032 NOPAT; on
the fade alone the value is $95 (output.txt).
research-eval (run by the analyst, not independent): the bridge earns
interest on cash and pays it on debt (B1), counts stock pay once as an
expense with a fixed 1,050M share count (B4), and keeps cash to the exit
without also paying it out (B5); no 8-K was filed after the Q2 10-Q
(EDGAR submissions, read 2026-10-26; S6); every table figure traces to
counter.txt, output.txt or odds.json. Alpha's own model view was not
rerun for this revision (D3, not done). Independence of the blind step is not
applicable: the revision is declared unblinded.

Original call, Oct 26, 2026 (before the Oct 26, 2026 restatement)
Hold, shown as Hold on the Avoid line: our value is $135 a share against $155.62 on the morning of 2026-10-26 ($158.96 at the 2026-10-23 close), and the shared rule turns Hold into Avoid above $159.39 (where $135 is 85% of the price). The rating is the rule's; because one ordinary day moves ServiceNow about 3.1%, we add the qualifier 'on the Avoid line' anywhere between $154.47 and $164.31, so a flip on noise is not read as news. This revision tested the 2026-10-22 report against its strongest bull case before Q3 results on 2026-10-28: the price up 5-7% since our 2026-10-15 Avoid, AI contract value above $1.0B, target raises (Guggenheim to $175 from $125, Bank of America to $180 from $150), channel checks pointing to a cRPO beat of 1.5-2.0 points (FundaAI, their claim), hedge-fund short positioning near records (Goldman prime-brokerage data via the press) and Anthropic's S-1, which does not name ServiceNow. None changes an operating input; the central value is unchanged. Our own central cRPO forecast (21.5% in constant currency) and the channel checks (21.5-22.0%) both sit below the 22.5% we think the stock needs to rise, so our base case is a beat that fades; that rests on eight quarters and is a hypothesis, and the crowded short book is the main risk to it. Options price about an 8% move either way; one results-day standard deviation down is about $139. The pessimistic and optimistic cases moved to $53 and $234 under the shared method of 2026-10-24. Unblinded.
