What would change the view

  • Q4 2026 revenue below $240M or GAAP gross margin below 58%: move the forecast toward bear and revisit 2027 infrastructure growth.
  • Infrastructure revenue stalls or falls after the 2026 optical ramp, or 1.6T qualifications and shipments slip materially beyond 2027: central and bull growth assumptions are too high.
  • Operating cash flow remains negative as receivables, inventory, or prepayments rise while GAAP earnings recover: the 12% working-capital drag understates the capital required.
  • GAAP gross margin below 57% for two successive quarters after Q4 2026: central margin path is unsupported.
  • A reported 2027 result below $833M revenue (the bear model) would invalidate even the modeled downside path.

Catalysts

  1. Q4 2026 results and initial 2027 outlook; company has not announced the date. Compare revenue with the $240-260M Q4 guide and GAAP gross margin with 58-61%; central uses $250M and 59.5%.
  2. Management expects Rushmore 1.6T production to begin during 2027, but did not give a precise launch or customer timing. Qualification and first shipment evidence would test the optical ramp.

Initial coverage · 2026-10-23 · Partly unblinded

Decision: Hold.

Fair value today: $58.25 per share. Price: $63.12 last-trade quote at 14:20:50 UTC (10:20 EDT) on 2026-10-23, during regular trading.

Price needs: about 1.4 percentage points more annual infrastructure growth or 2.3 percentage points more gross margin across the central 2027–31 path to reach $63.12.

P(price justified): 37% in the 4,000-draw subjective odds model. Its median is $38, 34.5% below central fair value; this wide, left-skewed result reflects the modeled qualification-delay tail, not a separate point estimate.

Odds in our scenarios: 20–50% (subjective, uncalibrated; exact simulation result 37%). Market expects: about 1.4 percentage points more annual infrastructure growth or 2.3 points more gross margin than our central path.

Moat: long customer qualification cycles and mixed-signal design know-how support programs, but supply constraints, concentration, and chip cycles limit pricing power.

Key driver: infrastructure growth; moving every 2027–31 growth rate by one point changes central value by about $3.35 per share. Street: $90.89 average target, $40–125 range in the October 23 market data capture; a market reference, not validation.

Five-year exit price: $109.11 at 2031-12-31. Five-year return: 10.8% annualized from the captured price.

Bear / bull: $3.25 / $123.80 fair value today. Confidence: 30% subjective probability that 2031-12-31 value is within ±20% of the $109.11 central exit estimate.

Decision question: Can MXL ship the optical growth already implied by a central path to $1.87B revenue by 2031, while maintaining margins and funding working capital?

Call

Hold at $63.12; central fair value is $58.25 per share. The market price is about 8% above the value from our central five-year forecast, and the model’s central five-year return is 10.8% a year through December 31, 2031. That is below the model’s 12.4% cost of equity. The rule is direct: buy at or below central fair value; above it, Hold. Our case-weighted value is $54.86. We do not assign a second return hurdle on top of fair value.

The core business is recovering faster than the broad company did in the last downcycle. Q3 2026 revenue rose 72% year over year, with infrastructure revenue up 210%. The valuation already assumes another large step-up: central revenue reaches $1.87B in 2031 from an estimated $774M in 2026. That path depends on optical customer qualifications, supply, and the timing of 1.6T products. The company’s own new products and visibility are encouraging, but bookings are not the same as shipped revenue and the optical market has had flat or falling years after short growth bursts.

This is initial coverage. The local report search found no earlier MXL report or revision to compare. The forecast was committed before the market pass. During blinded source review, the Q2 earnings-call transcript included a direction-only reference to “the stock price increase that we saw in the quarter.” It disclosed no price, target, or level. That exposure means this report is partly unblinded, not fully independent of market information.

Company and operating picture

MaxLinear designs fabless analog, radio-frequency, mixed-signal, and digital communications chips. The four reported segments serve infrastructure, broadband access, connectivity, and industrial/multi-market customers. The business has meaningful product and customer qualification cycles, and its history shows steep swings: company revenue was $693M in 2023, $361M in 2024, and $468M in 2025. The latest audited trend is recovery, not yet a full cycle through a mature data-center ramp. FY2025 10-K

The latest filed quarter is the three months ended September 30, 2026. Q3 revenue was $218.1M, GAAP gross margin 58.7%, GAAP operating income $30.2M, and GAAP diluted EPS $0.30. Infrastructure generated $124.9M, broadband $53.3M, connectivity $24.7M, and industrial/multi-market $15.1M. Q4 guidance is $240–260M revenue, 58–61% GAAP gross margin, and $96–101M operating expenses. Our FY2026 revenue base is $774.1M: actual Q1–Q3 plus the Q4 guide midpoint. Q3 release · Q3 10-Q

The 2026 recovery is led by optical data-center products. Management lifted its full-year optical data-center revenue outlook to $250–270M and said 1.6T products are expected to begin production in 2027, with greater volumes later. It described visibility beyond 2027 and a continuing ramp in 800G products. Those statements are management’s outlook, not booked revenue. The Q3 call also discussed supply constraints and limits on qualification resources, which can move revenue between quarters or delay it. The stored calls are Quartr transcript views through market data, a secondary source; the company’s IR page provides the webcast audio. Q3 call transcript, source capture

Forecast and cases

The model starts from FY2026 reported segment revenue plus an explicit Q4 allocation. Because the company does not guide Q4 revenue by segment, we allocate the $250M midpoint as $150M infrastructure, $50M broadband, $25M connectivity, and $25M industrial/multi-market. This allocation follows management’s qualitative direction for strong infrastructure and industrial revenue and seasonal declines in broadband and connectivity; it is ours, not company guidance. The full annual path, margins, operating expenses, working capital, and retained cash are reproducible in model.py and output.txt.

2031 outcome Bear Central Bull
Revenue $1.01B $1.87B $2.61B
GAAP gross margin 54% 59% 65%
GAAP operating income $45M $547M $1.15B
Fair value today $3.25 $58.25 $123.80
Exit value at 2031-12-31 $8.12 $109.11 $229.42

Weights are 30% bear, 50% central, 20% bull, our judgment. The bear assumes delays and weak margins through the optical cycle. The bull assumes rapid adoption, better mix, and more growth across connectivity and industrial products. The central path has infrastructure growing 45%, 40%, 25%, 15%, and 10% from 2027 to 2031; other segments grow at less ambitious rates. It reaches a 29% GAAP operating margin in 2031, below management’s stated 30–35% long-term operating-margin target and 65% gross-margin goal. These goals are not treated as commitments.

We model fixed and intangible net investment at 2% of revenue and working-capital investment at 12% of annual incremental revenue. Neither is company guidance. Year-to-date cash from operations was negative $17.7M despite positive operating income, as receivables, inventory, and prepayments increased. In the latest 10-Q, supplier A represented 54% of inventory purchases. The chosen 12% working-capital drag reflects that cash-conversion risk; actual future needs could differ materially. We assume forecast free cash after those reinvestments accumulates as cash at exit with a 0% yield. Current cash and claims are counted at the valuation date; the exit bridge carries only incremental retained cash, avoiding counting current net debt twice.

Market pass after the protected forecast

At 14:20:50 UTC (10:20 EDT) on October 23, the vendor's last_trade_price was $63.12, with a $62.95 bid and $63.29 ask during regular trading. This was 3.3% below the $65.28 October 22 official close. MXL had fallen 13.87% on October 22, when the Q3 report was released, from $75.79 on October 21. Captured market quote · historical close series

The post-commit sector check adds an important caution. The dated research note on timing markets reports that optical-transceiver demand has historically grown for two to three years and then had a flat or negative year, based on LightCounting’s 2004–2025 series. That sector series is not an MXL revenue forecast, but it argues against treating the 2026–28 data-center ramp as a smooth five-year curve. Timing sector note, as of 2026-10-20

Published sell-side coverage found in the market pass was ahead of the latest results: Wells Fargo cut its target from $95 to $78 on October 20; StoneX reiterated Buy at $125 on October 19; Stifel reiterated Buy at $120 on September 23. A pre-results market preview on October 22 cited a $95.27 consensus target. These target aggregates and dated calls vary by source and were not used to set our forecast, multiple, or decision. At the time of this report we found no published post-Q3 target revision. Benzinga target-action page · Investing.com pre-results market preview

The price paid for the forecast is demanding against our base case but not against the optimistic case. At $63.12, MXL trades about 1.08 times our $58.25 central fair value. Our central exit estimate is $109.11, which represents a 10.8% annual return from the quoted price. The price reaction and analyst targets show that investors are debating durability; neither substitutes for evidence that the forecast will be achieved.

The odds tool draws 4,000 cases from the distributions in drivers.json, with seed 20261023. It estimates a 37% chance that modeled central fair value meets or exceeds $63.12, a $38 median, and a range from -$5 at the 10th percentile to $154 at the 90th. These outputs are highly assumption-sensitive: the qualification-delay alternative has a median modeled claim value below zero, and 33% of combined draws fall at or below the already severe $3.25 bear-case value. Negative model outputs represent a distress or recapitalization signal in this unbounded valuation method; equity itself cannot trade below zero. The model does not simulate bankruptcy waterfalls or a limited-liability floor, so those negative values should be read as tail severity, not literal share prices. This is why the odds median is not substituted for the central fair-value estimate, and why the 37% should be treated as a subjective scenario read rather than a calibrated probability.

Next results preview: Q4 2026, expected early February 2027 (date unconfirmed)

These forecasts use the company's Q4 guide and the analyst's segment allocation in the protected forecast, not Street estimates. The company has not announced a release date; February 4 is the calendar estimate used for the record. Ranges for guided totals are the company's ranges. Segment, operating-income, and EPS ranges are analyst estimates constructed from those guide endpoints and are not calibrated 80% intervals.

Forecast Central Range Basis
Revenue ($M) 250 240–260 Company Q4 guidance midpoint and range
GAAP gross margin (%) 59.5 58–61 Company Q4 guidance midpoint and range
GAAP operating expenses ($M) 98.5 96–101 Company Q4 guidance midpoint and range

GAAP operating income ($M) 50.3 38.2–62.6 Revenue × gross margin − operating expenses, paired guide endpoints
GAAP diluted EPS ($) 0.38 0.28–0.49 Operating income less $3.5–4.3M interest/other, 18% normalized tax, 99.7M guided shares

In the model, $10M more FY2026 infrastructure revenue with the central 2027–31 growth path adds about $2.10 per share to central fair value. A one-point change in each annual infrastructure growth assumption changes central value by about $3.35 per share. These local sensitivities do not include interactions or imply that one quarter's beat persists through the five-year forecast.

Valuation

The shared method discounts the five-year holding period at a 12.42% cost of equity: a 5.29% dated risk-free rate plus a 1.70 Blume-adjusted median beta from available peers times a 4.20% equity-risk premium. The peer median uses ADI, MCHP, QCOM, and SWKS; QRVO had no beta result. MXL’s own Blume-adjusted beta is 2.70; at that beta, central fair value falls to $44.14. This is a source-quality limitation: the betas are one-year vendor observations, and the peer set does not perfectly match the cyclicality or optical exposure of MXL. Dated inputs and sources are in assumptions.md.

The method values each case as the average of a long fade and a historical outside view. The outside view is 24.6x EV/EBIT, the median of the selected peer histories because MXL had fewer than seven positive historical EBIT years in the last ten. It is a fiscal year-end historical multiple, not a current or forward multiple. The method's central fade starts from a 164% volume-only return on fixed and intangible capital: about $209M of volume-only NOPAT growth over 2028–31 divided by $127.6M of fixed and intangible net investment. The model separately subtracts $104.3M of working-capital investment in those years, but that amount does not enter the fade return denominator. The method fades this high starting return over 15 years toward the 25% mature-return assumption; it does not derive an asset life from MXL's filings. This is a weakly supported fabless-company convention, especially because D&A includes acquired-intangible amortization. As a scratch sensitivity, capping the starting fade return at 25% lowers central fair value from $58.25 to about $56.94 and the exit value from $109.11 to $106.69. The 25% mature return itself is below MXL’s 36% median on only three positive historical years and near the more comparable historical results for ADI, SWKS, and MCHP. Changing mature return from 15% to 35%, without changing the much higher start return, moves central fair value by less than $1 because near-term cash dominates. A different reinvestment or working-capital path could move value more substantially.

The fade-horizon exit sensitivity is $108.01 at 10 years, $109.11 at 15 years, and $109.98 at 20 years. The central outside view is $149 per share, versus $69 for the long fade. The $80 gap comes from applying the 24.6x peer historical EV/EBIT median to the same projected 2031 GAAP EBIT, while the fade values reinvestment at a 25% mature return and 5% continuing growth. The method takes their mean, $109.11. This agreement is not an independent check on the operating forecast; both valuation approaches use the same case.

Decision and watchpoints

Hold. The central fair value is $58.25, below the $63.12 current trade. The weighted fair value is $54.86. A price at or below $58.25 would meet the model’s buy rule, subject to no new contrary evidence. The 20% bull case offers upside to $123.80 fair value; the 30% bear case is very severe, at $3.25, because a delayed ramp combines with current net claims and weak late-period operating profit. These are scenario values, not price forecasts.

The next decision point is Q4 2026 results, expected in early February 2027 but not yet scheduled by the company. We will compare revenue with the $240–260M guide, GAAP gross margin with 58–61%, and how the guide describes infrastructure versus broadband and connectivity. Other catalysts are the first 2027 optical revenue evidence and customer qualification or shipment timing for 1.6T. A Q4 result below guidance, a failure to sustain infrastructure growth, gross margin below 57%, or another quarter of operating cash outflow while reported earnings recover would move the case toward bear. Evidence that the 2027 optical ramp ships on schedule, while working capital normalizes and margins hold, would support central or bull.

Confidence is 30% subjective, not calibrated: the probability that MXL’s value on 2031-12-31 is within ±20% of our $109.11 central exit estimate ($87–$131). Short-term timing confidence is separate. The uncertainty is high because infrastructure is now the majority of revenue, the five-year path assumes sustained growth in a cyclical market, and the company is constrained by supply and customer qualification resources.

Revision history

Initial MXL coverage dated 2026-10-23. No previous MXL report or same-day revision exists in this repository. The operating forecast was protected in commit c2f38ee3f; the post-commit market pass added price, sector context, decision, and odds. After the quote was captured, Q3 10-Q Note 13 showed that the $21.9M liability was for operating leases while forecast GAAP expenses retain rent. Removing that liability corrected a double count and raised central fair value from $58.32 to $58.54. A later review of Note 7 found that $28.779M of restricted cash guarantees import duties, office leases, and purchase obligations; excluding that encumbered cash separately from the $35M operating reserve lowers central fair value to $58.25. Both source-based bridge corrections were made with price in view; the central exit estimate and Hold decision remain unchanged. The report is partly unblinded also because the Q2 call source contained a direction-only reference to share-price movement. No numerical price was read before the protected forecast commit.

Evidence and limits

Latest filings reviewed: FY2025 10-K, Q2 2026 10-Q, Q3 2026 10-Q, and the Q3 2026 8-K, including the October 16 credit amendment. Financial statements and management claims are distinguished in the assumptions and saved data. Annual peer statements and EV history are market data data; market betas are market data data; earnings-call transcripts are Quartr transcript views through market data. These are secondary data sources. The company’s filings remain the source for reported financial facts.

The model does not quantify the unresolved Silicon Motion merger arbitration and related litigation because the filing does not support a reliable amount. It does not model future equity dilution beyond a flat 100M diluted share count. It treats the unused revolver as availability, not debt, and excludes any value for unrecognized tax assets. Those omissions could affect outcomes.

MaxLinear's recovery is led by optical data-center demand, but the $63.12 quote is above our $58.25 fair value. Hold; the case needs infrastructure growth to persist through 2031. Customer qualifications, supply constraints and cyclical demand could delay the ramp, while the $3.25 bear case shows how severe a setback could be.
