# GOOGL · Alphabet Inc. · Hold

Research report as of 2026-10-26, unblinded. Page: https://alpha.dming.si/research/2026-10-26-googl-6

We value GOOGL at $304 a share. The report's $319.65 price (Oct 26, 2026) was 5% above fair value: Hold.

_Restated Oct 26, 2026 (method case-spread-2026-10-24); the report's original value was $304, Hold._

**What the price needs.** Any one of these, on its own, would justify the price:

- Search growth vs our path, 2027-34: needs 1.6%, we have 0.0%
- Cloud margin before depreciation, 2029-33: needs 50.7%, we have 47.4%
- Cloud capital per revenue dollar vs our path: needs -0.15, we have 0

_As of 2026-10-26 · unblinded (a same-day revision of the fifth report under one long-run-return rule the owner approved for MSFT, GOOGL, AMZN and META; assumptions.md). Model committed before this report () Sixth report; revises 2026-10-26-googl-5 ($304, Hold), which stays on the record_

- **Fair value today:** $304 per diluted share, discounting at a 10.39% cost of equity (the yearly return investors require)
- **Price:** $319.65, last trade, 2026-10-26 16:16 UTC (2026-10-23 close $320.21) → 5% above fair value; Avoid starts below $271.70
- **Five-year exit price:** $462 on 2031-12-31: the mean of the long fade ($316; growth and returns on new capital fade toward mature levels) and the outside view ($608; 24.7x EV/EBIT, what Alphabet and similar companies have traded at); at 10/20 years $457/$467
- **Five-year return:** 9.3% a year from today's price, incl. dividends
- **Bear / bull today:** $131 / $527 from coherent operating cases (case-weighted 25/50/25: $317)
- **Confidence:** 30% of our simulated values fall within ±20% of $304 (subjective, not calibrated)
- **Moat:** Search distribution and data, YouTube, Android and Chrome reach, and a rare full stack of frontier models, own chips (TPU, its AI chip) and a top-three cloud
- **Market expects:** The Street's operating margins (35-38%) on our revenue give $346; on our margins, Search would have to grow about 1.6 points a year faster than our path
- **Price needs:** one of: Search & other growth +1.6 points a year over our path; a Cloud margin before depreciation of 50.7% from 2029 (central 47.4%); a Services margin of 49.2% (central 46.8%); Cloud growth +4.5 points a year; Cloud capital per revenue dollar 0.15 lower every year (alpha research odds)
- **Odds:** 20-50%: P(price justified) 42%, the share of our simulated scenarios in which fair value reaches the price (subjective, not calibrated); eight in ten simulated values fall between $154 and $574
- **Key driver:** Capital per Cloud revenue dollar: +0.2 every year is −$20; keeping the 2028 level for good is −$46; Search growth ±1 point a year is +$9.2 / −$8.7
- **Street:** Street target average $430.96, high $485, low $350 (15 in the last quarter, captured 2026-10-23) (an expectations reference, not validation)

**We keep Alphabet a Hold at $304 a share against $319.65.** Nothing about
the business or the forecast changed since the fifth report this morning.
One input changed: the long-run return on new capital that the long fade
uses after 2031. Our four hyperscaler reports set it four ways; the owner
approved one rule for all of them (`valuation.md`, study
2026-10-26-hyperscaler-return-rule).
The value moves 69 cents.

**The rule.** Each case earns, on growth after 2031, its own year-five
return on its net capital: year-five after-tax operating profit over 2026
net property ($413.5B: 2025's $246.6B from the 10-K plus 2026 capex less
depreciation, `model.py base_2026()`) plus the case's 2027-31 capital
spending less depreciation. Growth then needs the same capital per revenue
dollar the case reaches in 2031, about 0.97 times revenue. The returns are
20.4%, 26.1% and 29.5% for the pessimistic, central and optimistic cases
(output.txt), floored at the 10.16% WACC and capped at Alphabet's median
five-year return on the same measure, 52.1%; neither binds. The fifth
report set 15%, 25% and 35% by hand: the optimistic case's 35% sat above
anything its own capital could earn, the pessimistic case's 15% below.
Alphabet's history (36-77% over 2013-25 on this measure) was earned on
0.3-0.65 times revenue of capital and does not stand in.

**Why Hold, and what would make it Avoid.** Our rule calls Buy at or
below fair value and Avoid when fair value is below 0.85 times the price,
here $271.70. $304 sits between. Avoid needs one of four choices we judge
less likely than ours: the fourth report's permanent floor ($259);
Microsoft's 18.3% steady depreciation rate in place of our 14.2% ($265);
Microsoft's reviewer capex path scaled to Alphabet ($269.30, now $2.40
below the line; the fifth report had it $0.34 above); or a long-run
return near the cost of capital. A Buy needs the price to fall about 5%,
or Search growing 1.6 points a year faster than our path.

## 1. What changed from the fifth report

| Step | Pessimistic | Central | Optimistic | Weighted |
|---|---:|---:|---:|---:|
| The fifth report (2026-10-26-googl-5) | $129.82 | $303.81 | $531.58 | $317.25 |
| Each case's long-run return holds its own 2031 capital per revenue dollar | +$0.93 | +$0.69 | −$4.35 | −$0.51 |
| **This report** | **$130.75** | **$304.50** | **$527.23** | **$316.74** |

The fifth report's capital rule stands: 2028 capex is held at the 2027
level, $250B, and the excess plant glides back onto our Cloud path by
2030. Central capex: $250B, $250B, $158B, $113B, $176B, $193B for
2027-2032. Revenue, margins before depreciation, depreciation rates, the
Q3 2026 forecasts, the Anthropic stake and the exit method are unchanged.

## 2. The judgment range

All from `capex_consistency.py` (output in `capex_consistency.txt`); the
rating uses `restate.view()` at $319.65.

| Choice (central and optimistic) | Central capex 2027-2032 ($B) | Central | Case-weighted | Rating |
|---|---|---:|---:|---|
| This report: 2028 held, back on the path by 2030 | 250, 250, 158, 113, 176, 193 | $304 | $317 | Hold |
| Same, pessimistic case held too | same | $304 | $317 | Hold |
| The fourth report's floor: 2028 level kept for good | 250, 250, 221, 232, 247, 266 | $259 | $275 | Avoid |
| Three-year glide: on the path only in 2031, the exit year | 250, 250, 179, 153, 125, 193 | $306 | $318 | Hold |
| Microsoft's reviewer path scaled to Alphabet (not Alphabet evidence) | 250, 250, 208, 208, 227, 248 | $269.30 | $288 | Avoid, $2.40 below the line |
| This report, central's return capped at its own 22.6% volume-only return | 250, 250, 158, 113, 176, 193 | $302 | $316 | Hold |
| The third report: 2028 from the rule, cut | 250, 174, 162, 169, 176, 193 | $305 | $317 | Hold |
| This report with Microsoft's 18.3% steady depreciation (ours 14.2%) | 250, 250, 179, 144, 210, 232 | $265 | $282 | Avoid |
| Third report's rule with 18.3% depreciation | 250, 182, 180, 195, 210, 232 | $266 | $283 | Avoid |

Under defensible method choices the central runs from $259 to $306. Hold
holds for every choice except the permanent floor, Microsoft's faster
depreciation and Microsoft's capex path. Under the rule, heavier capital
also lowers the long-run return, so each heavier path now costs a few
dollars more than in the fifth report. We reject the three-year glide
because it puts the lowest-capex year in 2031, the year the exit
capitalises.

## 3. Forecast and value

Central case (output.txt): revenue $599.1B in 2027 and $870.2B in 2030,
as before. Operating margin 35.0% in 2027 and 30.7% in 2030, as the
lighter plant after 2029 slows depreciation. Free cash flow $2B in 2028
and $190B in 2031. The outside view ($608) is 92% above the fade ($316).

Sensitivities (per share, each alone, output.txt): Search growth ±1 point
a year +$9.2 / −$8.7; Services margin before depreciation +1 point +$6.3;
Cloud margin before depreciation +1 point +$4.6; Cloud growth +5 points a
year +$17.0; capital per Cloud dollar +0.2 every year −$20.1; mature
return on new capital 15% −$7.2, 35% +$4.1. Capping the central's return
at its own 22.6% volume-only return, the rule the study rejected, is
−$2.5 (section 2).

## 4. Market expectations

`market.py` (output in `market.txt`). What the price needs, each driver
alone at $319.65: Search growth +1.6 points a year over our path; or a
Cloud margin before depreciation of 50.7% from 2029; or a Services margin
of 49.2%; or Cloud growth +4.5 points a year; or Cloud capital per revenue
dollar 0.15 lower every year. Each lies inside our optimistic case.

The Street (Street analyst-estimates, fetched 2026-10-22) has 2030 revenue
of $978.9B against our $870.2B and an EBIT margin of 38.2% against our
30.7%. Its margins on our revenue give $346. The gap is mostly
depreciation: the Street's margin path does not show a $250B a year build
(our inference from that path).

## 5. Why the other side could be right

For Avoid: AI plant may stay heavier per dollar of revenue than any
earlier build, because accelerators wear out faster and inference demand
keeps rising; then the 2028 level is the new normal ($259), and if
Alphabet's servers also wear out at Microsoft's pace the value is $265.
For Buy: TPU system sales into customers' own sites need less of
Alphabet's capital; at 10-20% of Cloud revenue and a 45% margin they add
$9-18 a share (output.txt), and Search growth only 1.6 points a year
faster than ours reaches the price.

## 6. What would change the view

- 2028 or 2029 capex guided at or above 2027's with no lift to Cloud
backlog: the 2028 plant per dollar is lasting; the floor gives $259
  (Avoid).
- 2027 capex guided above $300B without Cloud backlog above $650B:
capital kept ahead of revenue; toward the pessimistic path.
- Cloud segment margin at or above 34% through 2027 while depreciation
rises: our Cloud margin or capital per dollar is too harsh; toward Buy.
- Search & other growth above 12% in each 2027 quarter (toward Buy); or
below 5%, or paid clicks falling, for the pessimistic path.
- An order to divest AdX or DFP: the pessimistic case.

Added by the googl-5 amendment (section 8): four Anthropic tripwires. None moves
the central by itself; each raises the weight on the pessimistic case's
lab-demand miss.

- **V1.** Alphabet books a quarterly loss on its Anthropic stake. Not
possible in Q3 (no priced round); at the IPO, a price below $58.90 if
the stake sits at the Series H price (inference).
- **V2.** Anthropic's IPO prices, or trades for 30 days, below $58.90, the
Series H price a common share. Each $1 below is $1.11-2.11B pre-tax and
  $0.07-0.13 of EPS (`funding.txt`).
- **V3.** Broadcom's notes to Anthropic step from 9% to 13% paid in kind
(they do when Anthropic misses revenue conditions; S-1 p. 167), or
draws on Google's $20.0B facility stall on missed compute or revenue
  milestones (p. 166-169).
- **V4.** Vendor money rises above 25% of the new compute Anthropic signs.
About 20% today: $82B of vendor facilities (Google $20.0B, Amazon
  $15.0B, Broadcom $42.0B, AMD $5.0B; p. 164-169) against about $417B of
  minimum payments signed or amended January 1 to June 1, 2026 (F-64);
  our arithmetic.

## 7. Limits

- **Depreciation and exit are not yet one rule across the three
companies.** Alphabet's 14.2% steady depreciation and 25-year long life
stay its own, against Microsoft's 18.3% and 20 years; Microsoft's exit
capitalises free cash flow, Alphabet's and Amazon's operating profit. At
Microsoft's rate Alphabet is an Avoid. A shared treatment for both is
follow-up work after this week's results.
- The 2030 capex dip ($113B) comes from a two-year glide that absorbs the
2028 excess in one step; the three-year glide gives about the same
  value ($306).
- The long-run return holds 2031's capital per revenue dollar for good;
that is a judgment, the case's own level rather than a rising or a
  falling one.

The Q3 2026 preview, the Anthropic S-1 reading, the counter-case answers
and the reaction bars are the third report's (sections 2, 3 and 7 of
`../2026-10-26-googl-3/report.md`) and are not repeated here.

## 8. Funding the build, and the Anthropic marks (googl-5 amendment, unchanged)

Added to googl-5 the same day, before the 2026-10-28 print; it changes no
fair value, rating or forecast and stands as written. The arithmetic
is in `funding.py` (output `funding.txt`).

**Alphabet already spends more than its operating cash flow, and sold
stock to cover it.** Fact (10-Qs; Q2 is six months less Q1): Q2 2026
operating cash flow $39.1B, capex $44.9B, 115% of it (116% with $0.3B of
finance-lease principal; 117% counting $0.7B of assets taken on finance
leases instead). The CFO gave the same figures and negative free cash
flow of $5.9B on the Q2 call. Q2 funding (10-Q cash flow statement and
Note 11): $30.5B of common stock (June 4: $20.5B underwritten, $10.0B
placed with a Berkshire Hathaway affiliate), $19.1B of 6.25% mandatory
convertible preferred (June 5), $24.8B of new debt less $3.8B repaid, no
buybacks. On June 1 Alphabet also opened a $40.0B at-the-market stock
programme; what it sold after June 30 first shows in the Q3 10-Q. In Q3
it issued $25.0B of notes (8-K, 2026-08-10). The brief's "$84.75B of
stock on June 2" does not match the filings: stock sold in Q2 was about
$49.6B, and $89.6B with the ATM capacity.

**Q3 and the fund's bear reading** (two or more of Microsoft, Alphabet,
Amazon and Meta with Q3 capex above operating cash flow, with debt or
stock funding the gap). Meta's 10-Q (2026-10-22) has Q3 capex at 103.5%
of operating cash flow, 106.5% with finance-lease principal (fact).
Strictly, Meta raised no debt in Q3 and met its $2.1B gap from cash that
May's $24.9B notes had raised; its October 26 forward sale of $22.5B of
stock and $12.5B of mandatory convertible preferred (424B5 supplements,
verified) fund what comes next. Alphabet is the likeliest second, on
Wednesday. Its 2026 guide of $195-205B less $80.6B spent in the first
half puts Q3 capex at about $51-62B; we infer Q3 operating cash flow of
$42-52B (Q3 2025 $48.4B, Q1 2026 $45.8B, Q2 2026 $39.1B). The August notes
already supply the debt. **The deciding number is Q3 "Net cash provided
by operating activities" against Q3 "Purchases of property and
equipment"** (nine months less six in the Q3 10-Q; the release gives
both). If capex is the larger, the reading trips on Wednesday. Amazon, on
Thursday, is likely to make it three; Microsoft is unlikely to count
(`funding.txt`).

What it means here (inference): our central case already carries free
cash flow near zero in 2028 ($2B), and the model holds Alphabet's
post-offering share count and preferred, so a tripped reading confirms
the build we model rather than adding to it. It counts against us if Q3
capex runs above $62B, the top of what the guide implies, while Cloud
backlog stays near our $560B: capital ahead of revenue, the second
condition in section 6.

**The Anthropic mark: none in Q3; the IPO sets the next, likely in Q4.**

| Item | Amount | Quarter | Source |
| --- | --- | --- | --- |
| Series G-2: 38.6M preferred, 0.386B common shares at $25.91 | step-up to $58.90: $12.73B pre-tax | Q2, already booked (inference: G-2 and Series H both priced in Q2; Q2's non-marketable gain was $77.35B, "primarily" one private company) | S-1 F-47, F-63; 10-Q Note 3 |
| Series H: $10.0B in May at $589.0095 a preferred share | 0.170B common shares | Q2, at cost | S-1 F-41 |
| No priced round in Q3 | none | Q3 | S-1 read |
| IPO price against $58.90 | $1.11-2.11B pre-tax per $1; EPS $0.07-0.13 per $1 | Q4, if it prices this year | `funding.txt` |

The 1.11B floor is the series the S-1 itemises for Google (0.94B) plus
the Series H shares (0.170B). The third report's preview left the Series
H shares out, so its floor of $55.4B at $58.90 should read $65.4B. No
value changes: the model counts the stake at its Q2 carrying value after
tax. The 2.11B ceiling is all $124.26B of non-marketable carrying value
at $58.90.

EPS (GAAP, diluted; the third report's preview): Q3 $2.96 without marks,
$2.26 with the SpaceX mark; Anthropic adds nothing. Q4, if the IPO prices
then: at $47.12 (20% below $58.90) −$0.83 to −$1.59; at $58.90 nil; at
$70.68 (20% above) +$0.83 to +$1.59; at $88.35 (50% above) +$2.09 to
+$3.97. A Q4 gain is earnings noise, not new value.

**Backlog.** Anthropic's Google minimum is at least about $114.5B, April
2026 to July 2033, with a true-up (S-1 p. 171), about 22% of the $513.9B
Cloud backlog at June 30. It was signed in March and amended between May
and August, so only the July-August part can add to the Q3 backlog (the
S-1 read, finding 2).
